Terms of Service

You must be at least 18 years of age and legally competent to enter into a contract under the Indian Contract Act, 1872 to use this Service. By using Pandalilly, you represent and warrant that you meet these requirements. If you are using the Service on behalf of an organisation, you represent that you have the authority to bind that organisation to these Terms.

Pandalilly is an AI-powered video captioning platform that allows users to upload videos, automatically generate captions using artificial intelligence, customise caption styles using templates, and export the final captioned video. Current features include AI Captions and Caption Templates. Additional features may be added in the future.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice where practicable.

To access the Service, you must create an account by providing accurate and complete information. You are responsible for:

• Maintaining the confidentiality of your login credentials.
• All activity that occurs under your account.
• Notifying us immediately at admin@pandalilly.com if you suspect unauthorised access.

We reserve the right to suspend or terminate accounts that we reasonably believe are used fraudulently or in violation of these Terms.

Pandalilly offers a Free plan and paid subscription plans (currently Creator and Pro), each with its own monthly video, export, and quality limits as described on our Pricing page. Plan limits and pricing are subject to change with 30 days' prior notice; we will communicate any pricing change clearly before it applies to your account.

Attempting to circumvent usage limits through the creation of multiple accounts, automation, or any other means is a material breach of these Terms and may result in immediate account termination.

Paid plans are billed on a recurring basis (monthly or annual, as selected by you) through our third-party payment processor, Razorpay. By subscribing to a paid plan, you authorise Pandalilly to charge your chosen payment method automatically at the start of each billing cycle until you cancel.

You may cancel your subscription at any time from your account's billing page. When you cancel, your subscription will not renew again, but you will continue to have access to your paid plan's features until the end of the billing period you have already paid for. After that date, your account reverts to the Free plan.

Amounts already paid are governed by our Refund & Cancellation Policy, which is incorporated into these Terms by reference.

You agree not to use the Service to upload, process, or distribute content that:

• Violates any applicable Indian law, including the IT Act 2000, the POCSO Act, and applicable laws relating to obscenity, child sexual abuse material, intellectual property, privacy, or other unlawful content.
• Is defamatory, obscene, pornographic, or promotes hatred on the basis of religion, caste, race, gender, or disability.
• Infringes the intellectual property rights of any third party.
• Contains personal data of third parties without their lawful consent.
• Is intended to harass, abuse, or harm any individual or group.

You further agree not to:

• Reverse-engineer, decompile, or disassemble any part of the Service.
• Use the Service to build a competing product or service.
• Introduce malware, viruses, or any harmful code.
• Use automated bots, scrapers, or crawlers without our written permission.
• Misrepresent your identity or affiliation.

You retain full ownership of the videos you upload and the captions you create ("Your Content"). By uploading content to the Service, you grant Pandalilly a limited, non-exclusive, royalty-free, worldwide licence to process, transcode, store temporarily, and display Your Content solely for the purpose of providing the Service to you.

We do not claim ownership of Your Content, and we do not use your videos or captions to train AI models without your explicit written consent.

You represent and warrant that Your Content does not violate any third-party rights and that you have all necessary rights and permissions to upload it. You are solely responsible for Your Content and any consequences of uploading or sharing it.

All intellectual property in the Service — including the Pandalilly brand, logo, user interface, AI algorithms, software, and documentation — is owned by or licensed to Pandalilly and is protected under the Copyright Act, 1957 and other applicable Indian intellectual property laws. Nothing in these Terms grants you any right to use our intellectual property for any purpose other than using the Service as permitted.

Your use of the Service is also governed by our Privacy Policy, which is incorporated into these Terms by reference.

The Service is provided on an "as-is" and "as-available" basis without any warranties, express or implied, to the fullest extent permitted by applicable law. We do not warrant that:

• The Service will be uninterrupted, error-free, or free of harmful components.
• AI-generated captions will be perfectly accurate in all languages or for all accents.
• The Service will meet your specific requirements.

To the maximum extent permitted under Indian law, Pandalilly and Pongangairaman N K S shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of revenue, data, or profits, arising out of or in connection with your use of the Service.

Our total aggregate liability for any claim under these Terms shall not exceed the greater of: (a) the amount you paid to us in the three months preceding the claim, or (b) INR 1,000 (one thousand rupees).

You agree to indemnify, defend, and hold harmless Pandalilly from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your violation of these Terms; (b) Your Content; or (c) your violation of any applicable law or third-party rights.

You may delete your account at any time from your account settings. Upon deletion, your data will be handled as described in our Privacy Policy.

We may suspend or permanently terminate your account immediately and without prior notice if we determine, in our sole discretion, that you have materially breached these Terms, engaged in fraudulent activity, or if required to do so by applicable law.

These Terms shall be governed by and construed in accordance with the laws of India, without regard to conflict of law principles.

In the event of any dispute arising out of or in connection with these Terms or the Service, the parties shall first attempt to resolve the matter amicably through good-faith negotiation for a period of 30 days.

If amicable resolution fails, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (as amended). The seat of arbitration shall be Bengaluru, Karnataka, India. The arbitration shall be conducted in English by a sole arbitrator mutually agreed upon by the parties.

Nothing in this clause prevents either party from seeking urgent interim relief from a competent court of jurisdiction in Bengaluru, Karnataka, India.

Nothing in these Terms limits or excludes any rights you may have under the Consumer Protection Act, 2019, the Consumer Protection (E-Commerce) Rules, 2020, or other applicable Indian consumer protection laws. We may update these Terms from time to time. Material changes will be communicated via email or a prominent notice on the platform at least 30 days before the changes take effect. Your continued use of the Service after the effective date of revised Terms constitutes your acceptance of those Terms.

If any provision of these Terms is found to be unenforceable or invalid by a competent court, the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
